Spirit Airlines and the challenge of the A321neo transaction

The US low-cost airline Spirit Airlines is facing a crucial phase of its restructuring under Chapter 11 bankruptcy proceedings. The focus of current developments is a Sale and leaseback transaction (SLB) for four Airbus A321neo aircraft, which the airline is to receive between December 2024 and April 2025. The transaction is of key importance to secure urgently needed liquidity and ensure the continuation of flight operations.

Am 10 December 2024 Spirit Airlines applied to United States Bankruptcy Court for the Southern District of New Yorkto approve the SLB transaction. The very next day, the court agreed to an expedited hearing, which is now scheduled for 17. December Spirit Airlines argues that this urgency is necessary to ensure the financing and execution of aircraft purchases in a timely manner.

The airline stressed that the transaction would take place under normal business conditions. However, court approval was necessary to ensure transparency for contracting parties and security in the insolvency proceedings. The first of the four aircraft, an Airbus A321neo with the manufacturer serial number (MSN) 12324, is to be delivered on 19. December be delivered.

The planned SLB transaction enables Spirit Airlines to lease the aircraft to the lessor Jackson Square Aviation (JSA) and then lease them back on a long-term basis. This provides the airline with much-needed liquidity by converting large upfront purchase payments into monthly leasing payments.

If the transaction does not go through, Spirit Airlines would be forced to pay for the aircraft in full, which would amount to tens of millions of dollars. This burden could significantly jeopardize restructuring efforts. The four Airbus A321neo are an integral part of Spirit Airlines' future fleet strategy. These aircraft are characterized by their cost-effectiveness and greater capacity compared to older models. Their timely introduction is crucial not only for smooth flight operations but also for the relationship with the original manufacturer Airbus.

Spirit Airlines has already developed plans for the use of the aircraft. Delays could therefore not only lead to Operational disruptions, but also lead to a loss of trust among passengers and business partners.

Spirit Airlines has been in 18 November 2024 in Chapter 11 bankruptcy proceedings. This step allows the airline to restructure its debts while continuing operations.
